REWE International AG notifies AFCA of planned takeover of 21 stores

Following pre-notification talks, REWE notified the Austrian Federal Competition Authority (AFCA) of the planned merger on 18 December 2025. The AFCA has four weeks to examine the takeover of the stores. This period may be extended by two additional weeks if the company asks for an extension.

REWE plans to take over the following 21 UNIMARKT stores:

Further steps

The AFCA has until 15 January 2026 to examine the takeover, and will publish an information document on the following day. The company may ask for the examination to be extended by two weeks, if necessary. Any company whose legal or economic interests are affected by the merger may submit a written statement to the AFCA. If no competition issues are identified for a specific location, the takeover may be cleared.

If competition issues are identified, the merger may be subjected to a Phase I investigation. If this does not resolve the competition concerns, the AFCA and the Federal Cartel Prosecutor (Federal Ministry of Justice) may file a request for examination with the Cartel Court (Phase II).

Update 09.01.2026: The undertaking has requested an extension of the review period by two weeks. Accordingly, the review period will end on 29 January 2026.

Update 28 January 2026: For internal corporate reasons, REWE has amended the merger notification so that it no longer includes the planned acquisition of the branch at Grazerstraße 30, 8403 Lebring. With regard to all other branches, the notification remains unchanged. The notification therefore now covers only 20 branches.
