Merger Notification - Announcement according to § 10 Cartel Act

On 07.09.2026 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Wietersdorfer Alpacem GmbH intends to acquire 50% of the shares in Terminal Peggau GmbH, FN 666760 f (the "JV Holding"), and directly or indirectly through Alpacem Zement Austria GmbH, a 75% direct subsidiary of Wietersdorfer Alpacem GmbH, 50% of the shares in the newly established Terminal Wietersdorf Asset GmbH (the "JV Company"). As a result, Wietersdorfer Alpacem GmbH (potentially via and/or Alpacem Zement Austria GmbH will, together with Innofreight Industrial So lutions GmbH, which will hold the respective remaining 50% of the shares, acquire joint control over the JV Holding and (potentially indirectly via Alpacem Zement Austria GmbH) the JV Company (together with their respective subsidiaries, the "Joint Venture" or "JV"). The Joint Venture is being established for the purpose of planning, constructing and operating two container transshipment terminals, namely a terminal located in Peggau and a plant terminal located in Wietersdorf. The concentration concerns terminal services for intermodal container transshipment between road and rail transport and vice versa, including rail-to-rail transport.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 05.10.2026.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
