LAWOG; OGW; GVVG; Energie AG

On 20.07.2021 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

LAWOG, Gemeinnützige Landeswohnungsgenossenschaft für Oberösterreich, eingetragene Genossenschaft mit beschränkter Haftung (hereinafter referred to as ''LAWOG'') and GVVG, Gemeinnützige Vermietungs- und Verwaltungsgesellschaft m.b.H. (hereinafter referred to as ''GVVG'') jointly acquire all shares in OGW, Oberösterreichische Gemeinnützige Bau- und Wohngesellschaft mit beschränkter Haftung (hereinafter referred to as "OGW"). LAWOG acquires 94 % and GVVG 6 % of these shares. All three companies are companies which are subject to the Austrian Housing Commity Benefict act. The present merger is a share deal through which the two acquiring companies obtain control over OGW. The business sector concerned is the production, letting and management of apartments. At the end of the merger, GVVG and OGW will both be affiliated companies of LAWOG. The largest cooperative shareholder of the latter is the federal state of Upper Austria.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 17.08.2021.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
