Merger Notification - Announcement according to § 10 Cartel Act

On 12.10.2026 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
OCP SPS SA, Morocco, a wholly owned subsidiary of OCP SA, Morocco, intends to acquire 1/3 of the shares in Euro Maroc Phosphore, Morocco, from Chemische Fabrik Budenheim KG, Germany. Following implementation of the proposed transaction, the OCP group will hold 2/3 of the share capital in the target, while Prayon S.A., Belgium, will hold 1/3 of the share capital. The OCP group and Prayon S.A. will continue to exercise joint control over the target.
C - MANUFACTURING C 20 - Manufacture of chemicals and chemical products, C 20.1 - Manufacture of basic chemicals, fertilisers and nitrogen compounds, plastics and synthetic rubber in primary forms, C 20.13 - Manufacture of other inorganic basic chemicals
Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 09.11.2026.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
