On 09.09.2026 the Austrian Federal Competition Authority was notified of the following merger:

Committed Advisors SCS, France, a private equity investment manager belonging to the Wendel Group, intends, through its managed funds CASF VI Investments 1 SCSp and CA GPS II Investments 1 SCSp, to commit more than 50% of the aggregate capital commitments in the newly established investment fund CONSTELLATION Academy Continuation SCSp, Luxemburg, including its direct and indirect portfolio companies (i) BBI Bildungs- und Beratungsinstitut GmbH, (ii) CA Holding GmbH, Germany, together with following direct and indirect subsidiaries (each 100 % owned, either directly or indirectly, by CA Holding GmbH): (iii) GPB Gesellschaft für Personalentwicklung und Bildung mbH; (iv) W.A.R. Wirtschaftsakademie am Ring GmbH; (v) BSG Bildungsinstitut für Soziales und Gesundheit GmbH; (vi) FOKUS Sprachen und Seminare GmbH; (vii) FOKUS Sprachen und Seminare Stuttgart
GmbH; (viii) CONSTELLATION ACADEMY digital GmbH; (ix) the key - academy GmbH; (x) the key - Unternehmensgruppe GmbH (currently being liquidated); (xi) BBQ - Baumann Bildung und Qualifizierung GmbH, Berlin; (xii) AIHE Academic Institute for Higher Education GmbH; and (xiii) meta five GmbH (all Germany).
The proposed concentration concerns the provision of adult education services.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 07.10.2026.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
