Merger Notification - Announcement according to § 10 Cartel Act

On 29.12.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
AlpInvest Partners B.V. (Netherlands), which is ultimately controlled by The Carlyle Group Inc. (USA), intends to acquire non-controlling limited partnership interests of more than 25% in a newly formed continuation investment fund, which is managed by OEP (USA). As part of the transaction, an indirect 100% shareholding in SGB-SMIT GmbH (Germany) will be transferred from an existing fund managed by OEP (USA) to the continuation investment fund.
C - MANUFACTURING C 27 - Manufacture of electrical equipment, C 27.1 - Manufacture of electric motors, generators, transformers and electricity distribution and control apparatus, C 27.11 - Manufacture of electric motors, generators and transformers, C 27.12 - Manufacture of electricity distribution and control apparatus
Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 26.01.2026.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 27.01.2026 .
