Merger Notification - Announcement according to § 10 Cartel Act

On 23.12.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Brightfolk A/S, Denmark, intends to acquire more than 25 % of the shares in and sole control over Sports Group Denmark A/S, Denmark, and a group of shareholders (Familien Bruun Ivest ApS, Familien Bruun Selskaber ApS, Henrik Bruun Jensen Holding A/S, Klaus Midtgaard Holding ApS and Klaus Midtgaard) collectively referred to as Bruun/Midtgaard, Denmark, intend to increase their shareholding to more than 25 % of the shares in Sports Group Denmark A/S, Denmark.
C - MANUFACTURING C 14 - Manufacture of wearing apparel, C 14.2 - Manufacture of other wearing apparel and accessories, C 14.29 - Manufacture of other wearing apparel and accessories n.e.c., G - WHOLESALE AND RETAIL TRADE, G 46 - Wholesale trade, G 46.4 - Wholesale of household goods, G 46.42 - Wholesale of clothing and footwear
Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 20.01.2026.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have waived their right to apply for examination of the merger by the Cartel Court before the deadline. The standstill obligation (§ 17(1) Cartel Act) ends with effect from 09.01.2026 .
