Merger Notification - Announcement according to § 10 Cartel Act

On 15.12.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Austrocard GmbH (FN 460435 k) Wels, Austria, which belongs to the Polish Orlen Group, intends to acquire SOCAR Energy Austria Operating Company GmbH's (FN 139789 y) fuel card business „SOCAR-Card" by taking over the corresponding customer lists. Austrocard GmbH intends to migrate these sutomers to its “Austrocard” system.
The business segment affected is the operation of fuel cards and mobility payment systems. The activity falls under ÖNACE code L-66.19-0 (other insurance services n.e.c./billing payment services). Through this transaction, the SOCAR Card business unit is to be transferred in its entirety from SOCAR Energy Austria Operating Company GmbH to Austrocard GmbH.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 12.01.2026.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 13.01.2026 .
