Merger Notification - Announcement according to § 10 Cartel Act

On 02.12.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Contargo Beteiligungs GmbH intends to acquire 50 % of the shares in Cargo-Center-Graz Logistik GmbH as part of a capital increase. The share capital of Cargo-Center-Graz Logistik GmbH is to be raised from the current amount of EUR 35,000.00 by EUR 35,000.00 to EUR 70,000.00 by way of a capital increase. Exclusively Contargo Beteiligungs GmbH shall be permitted to subscribe for the new capital contribution created by such capital increase, which it shall fully assume. Upon the assumption of this newly created share and registration of the capital increase in the commercial register, control over Cargo-Center-Graz Logistik GmbH will move from sole control by Cargo-Center-Graz Betriebsgesellschaft m.b.H. & Co KG to joint control exercised by Contargo Beteiligungs GmbH and Cargo-Center-Graz Betriebsgesellschaft m.b.H. & Co KG. After registration of the capital increase of Cargo-Center-Graz Logistik GmbH, both Cargo-Center-Graz Betriebsgesellschaft m.b.H. & Co KG and Contargo Beteiligungs GmbH will each hold an interest in Cargo-Center-Graz Logistik GmbH corresponding to a fully paid-in capital contribution in the amount of EUR 35,000.00 and thus amounting to 50 % each. In Austria, the parties are active in transport and freight-forwarding logistics, terminal and handling services and, through affiliated undertakings, in inland waterways and rail freight. The transaction aims to connect the Adriatic ports of Koper and Rijeka to Contargo’s hinterland network and to establish Graz as a hub for South-Eastern Europe.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 30.12.2025.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 31.12.2025 .
