Merger Notification - Announcement according to § 10 Cartel Act

On 02.12.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Steirische Infrastruktur-Beteiligungs GmbH (FN 573995 k) intends, as part of a capital increase, to acquire 50 % of the shares in Cargo-Center Development GmbH (FN 647529 z). The share capital of Cargo-Center Development GmbH
is to be increased by way of a capital increase from the current amount of EUR 10,000.00 by EUR 90,000.00 to EUR 100,000.00. The new capital contributions are to be subscribed by Cargo-Center-Graz Betriebsgesellschaft m.b.H. & Co KG
(FN 192171 f) in the amount of EUR 40,000.00 and by Steirische Infrastruktur-Beteiligungs GmbH in the amount of EUR 50,000.00. Upon acquisition of this newly created share and registration of the capital increase in the commercial register, control over Cargo-Center Development GmbH will shift from sole control by Cargo-Center-Graz Betriebsgesellschaft m.b.H. & Co KG to joint control by Steirische Infrastruktur-Beteiligungs GmbH and Cargo-Center-Graz Betriebsgesellschaft m.b.H. & Co KG. Following registration of the capital increase in respect of Cargo-Center Development GmbH, both Cargo-Center-Graz Betriebsgesellschaft m.b.H. & Co KG and Steirische Infrastruktur-Beteiligungs GmbH will hold an interest in Cargo-Center Development GmbH corresponding to a fully paid-in capital contribution of EUR 50,000.00 respectively, and thus each 50 % of Cargo-Center Development GmbH.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 30.12.2025.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 31.12.2025 .
