Merger Notification - Announcement according to § 10 Cartel Act
Granit Group; Pongratz Group; WIG – Transportbeton Ges.m.b.H.

On 25.11.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Granit Holding GmbH (FN 58036 ) and Pongratz Bau Gesellschaft m.b.H. (FN 51999 w), or rather their shareholders, intend to merge. It is planned that the operational activities of Pongratz Bau Gesellschaft m.b.H. will be transferred to a wholly owned subsidiary of Granit Holding GmbH. Furthermore, the shareholders of the remaining Pongratz Bau Gesellschaft m.b.H. intend to sell their shares, with Granit Holding GmbH acquiring a 51.00% interest and
Pongratz Vermietungsgesellschaft m.b.H. acquiring a 49.00% interest. As a result of this transaction, the indirect shares in WIG – Transportbeton Ges.m.b.H./Gral Schotter change; for Granit Holding GmbH, they increase from 44.00% to 52,67%, while for Pongratz Vermietungsgesellschaft m.b.H., they decrease from 17.00% to 8.33%.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 23.12.2025.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 24.12.2025 .
