ADOMO Beteiligungs GmbH; IAG Invest AG

On 28.10.2025 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

The notified merger concerns the acquisiton of controlling influence over ADOMO Beteiligungs GmbH,  FN 517060h, ("ADOMO") by IAG Invest AG & Co. KG, FN 663127m, ("IAG).

On 2 August 2019 Invest Unternehmensbeteiligungs Aktiengesellschaft ("Invest AG"), thelegal predecessor of IAG, entered into a participation agreement with ADOMO. Under thias agreement, Invest AG undertook to provide ADOMO with equity-like profit participation capital of up to EUR 10 million to finance its expansion. In return, Invest AG received extensive co-determination rights. Invest AG also provided additional profit participation capital totalling EUR 25 million. At the general meeting on 25 September 2025, the entire profit participation capital held by Invest AG was contributed as a capital in kind. At the same time, Invest AG and another shareholder made a cash contribution. 

Due to the company's liquidity issues; IAG (formerly Invest AG) agreed to provide further capital as part of a cash capital as part of a cash capital increase, combined with an obligation to make equity contributions. As the coshareholders of IAG are not exercising their subscription rights, this capital increase will result in the 50% participation threshold being exceeded. 

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 25.11.2025.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
