On 14.10.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
The project submitted for approval comprises two transactions under competition law: Firstly, Antilia GmbH is to be established as a joint venture between the Konvent der Barmherzigen Brüder in Graz and Hallo Gesundheit GmbH, with each party holding an equal share (50%) (referred to as “project 1”). Secondly, it is intended that Antilia GmbH will acquire a total of 49% of the shares in SVS Gesundheitszentrum Graz BetriebsGmbH (the other 51% will continue to be held by the Sozialversicherungsanstalt der Selbstständigen), and conclude a management agreement on the basis of which Antilia GmbH is to take over the operational management of the SVS Health Center in Graz, which is formally operated by SVS Gesundheitszentrum Graz Betriebs-GmbH, and acquire joint control (in short, “project 2”).

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 11.11.2025.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 12.11.2025 .
