Merger Notification - Announcement according to § 10 Cartel Act

On 20.03.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
REWE-ZENTRALFINANZ eG, Köln, Germany and Harry-Brot GmbH, Schenefeld, Germany, contemplate to create two joint ventures as property holding companies for industrial bakeries. Each party will hold 50 % of the shares in the joint ventures and exercise joint control over the joint ventures. The two joint ventures will be based in Germany and, as part of their business activities, will hold two properties in Germany (currently owned by subsidiaries of REWE-ZENTRALFINANZ eG) and lease them to indirect subsidiaries of Harry-Brot GmbH.
In the course of this transaction, Harry-Brot GmbH will also take over the operations of the Glockenbrot industrial bakery in Bergkirchen (near Munich) from an indirect subsidiary of REWE-ZENTRALFINANZ eG.
Activity concerned: Manufacture of bakery and farinaceous products.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 17.04.2025.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 18.04.2025 .
