On 27.02.2025 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

Logo Holdings II Corporation, USA, a portfolio company controlled by the investment firm HPS Investment Partners, LLC, USA, and Matthews International Corporation, USA, intends to combine Southern Graphics Inc., USA and its subsidiaries with the SGK Brand Solutions business (excluding Saueressig Packaging and SGK’s Brand Solutions’ roto-gravure packaging business), 5Flow and Equator Design, which is currently owned by Matthews International Corpora-
tion, USA, in a so-called "joint venture" – Peninsula Parent LLC – which will be solely controlled by Logo Holdings II Corporation. At closing, Logo Holdings II Corporation will (indirectly) hold 60% and Matthews International Corporation, USA will (indirectly) hold 40% of the voting stock in Peninsula Parent LLC.
The proposed concentration concerns packaging solutions/services.

C - MANUFACTURING C 18 - Printing and reproduction of recorded media, C 18.1 - Printing and service activities related to printing, C 18.13 - Pre-press and pre-media services

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 27.03.2025.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.

Non-prohibition of the merger

The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 28.03.2025 .
