On 03.02.2025 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

Rettenmeier Holding AG, which is controlled by Cordes Holding GmbH & Co. KG, intends to acquire certain tangible and intangible assets, contractual relationships, and liabilities of the Ziegler Group out of insolvency through directly and indirectly majority-owned subsidiaries. The assets to be acquired primarily include fixed assets, real estate, inventories, intangible assets, and receivables, as well as at least partial contractual relationships with customers and employ-
ees. The target business also includes 100% of the shares in Prechtl GmbH Anlagen- und Mas- chinenbau, Plößberg, and 75% of the shares in Ruhland Druckluft & Systemtechnik GmbH, Plößberg. The acquirer also plans to acquire a right of first refusal with regard to the foreign companies of the Ziegler Group. These foreign companies are therefore also part of the target business for the purposes of this notification.  
Affected business areas: Manufacture of wood and of products of wood and cork, except furniture; manufacture of articles of straw and plaiting materials.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 03.03.2025.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.

Non-prohibition of the merger

The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 04.03.2025 .
