On 28.08.2024 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

The notified concentration concerns several interlocking transactional steps, which shall be completed within one overall transaction, i.e. STRABAG SE envisages to acquire (i) indirectly one ready-mix concrete plant in Simmering (Wildpretstraße 5, 1110 Wien) (indirectly) from ASAMER Baustoff Holding Wien GmbH & Co KG, Austria, in an asset deal, and (ii) indirectly one ready-mix concrete plant in Gerasdorf (Viktor Kaplan-Straße 2, 2201 Gerasdorf bei Wien) through the termination of a lease-agreement (Pachtvertrag) with (indirectly) ASAMER Baustoff Holding Wien GmbH & Co KG; concurrently, ASAMER Baustoffe Holding GmbH shall (via a share deal) acquire the shares currently held by STRABAG AG and STRABAG SE in ASAMER Baustoff Holding Wien GmbH as well as in ASAMER Baustoff Holding Wien GmbH & Co KG of each 30,93%, thus, increasing its shareholding in ASAMER Baustoff Holding Wien GmbH and ASAMER Baustoff Holding Wien GmbH & Co. KG from 69,07% to 100%, respectively.  
 The following Austrian NACE codes are concerned: C 23.63 manufacture of ready-mixed concrete (transport concrete).

Industry sector: C - Verarbeitendes Gewerbe/Herstellung von Waren

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 25.09.2024.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.

Non-prohibition of the merger

The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 26.09.2024 .
