Niederösterreichische Pressehaus Druck- und Verlagsgesellschaft m.b.H.; Raiffeisen-Holding NÖ-Wien Beteiiligungs GmbH

On 28.03.2024 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

Conversion of the profit participation rights issued by Niederösterreichisches Pressehaus Druck- und Verlagsgesellschaft m.b.H. (NÖP) and subscribed to by RAIFFEISEN-HOLDING NÖ-Wien Beteiligungs GmbH (RH-Bet) in the amount of EUR 15 million into an increased participation of the first notifying party in the share capital of NÖP of more than 25% (but in any case less than 50%) through

(i)      a capital increase of NÖP and/or

(ii)     assignment of parts of the shares of the other shareholders of NÖP to RH-Bet.

At the same time, the first notifying party RH-Bet is to be given the opportunity to propose a member of the Supervisory Board to be elected to the Supervisory Board of NÖP.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 25.04.2024.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
