Merger Notification - Announcement according to § 10 Cartel Act
Frasers Property Holding GmbH; Vienna Logistics S. à r.l.; AI Gewerbepark Simmering GmbH; EIPF Holding S. à r.l.
On 23.08.2022 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
The subject of the merger is the acquisition of all shares in the target companies Frasers Property Holding GmbH, Vienna Logistics S. à r.l. and AI Gewerbepark Simmering GmbH and thus indirectly the acquisition of four logistics properties intended for leasing (three in the greater Vienna area and one in the greater Graz area) by EIPF Holding S. à r.l. EIPF Holding S. à r.l. is a wholly owned subsidiary of the European Impact Property Fund S.C.A. SICAV-SIF, an AIF; the AIF is managed and controlled by BNP Paribas Real Estate Investment Man-agement Luxembourg S.A. as AIFM. The AIFM is in turn an indirect wholly-owned group com-pany of BNP Paribas S.A. The business sector concerned is therefore, according to ÖNACE 2008 H.52.1 Lagerei.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 20.09.2022.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 21.09.2022 .
