On 27.05.2022 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
A limited partnership wholly owned by investment funds advised and/or managed by one or more subsidiaries of KKR & Co. Inc. (USA) intends to acquire an interest of 35-40% in Alliance Holdco Inc. (USA) and, indirectly, in Alliance Pharma Inc. (USA), which is currently solely controlled by Ampersand 2020 Limited Partnership (USA), which will continue to retain an interest in Alliance Holdco Inc. (USA) and, indirectly, in Alliance Pharma Inc. (USA) following completion (together with a limited partnership wholly owned by investment funds advised and/or managed by one or more subsidiaries of KKR & Co. Inc. (USA)); simultaneously, as part of a single transaction, Alliance Holdco
Inc. (USA) intends to indirectly acquire sole control over the drug development business of Drug Development Solutions Limited (United Kingdom).
The concentration concerns laboratory services related to clinical development and contract research organization services for clinical trials.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 24.06.2022.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 25.06.2022 .
