Nalka Invest AB; Kirk Kapital Strategic Investments A/S; Nemas HoldCo A/S

On 26.04.2024 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

The notified concentration concerns the joint indirect acquisition of Nemas HoldCo AS (Oslo, Norway) and thus of the Norstat Group by (i) Nalka Invest AB (Stockholm, Sweden), a company ultimately controlled by Interogo Foundation (Vaduz, Liechtenstein), and (ii) Kirk Kapital Strategic Investments A/S (Vejle, Denmark), a company ultimately controlled by members of the Kirk Johansen family. Upon completion of the contemplated concentration Nalka Invest AB will hold more than 50% of the shares in Nemas HoldCo AS, Kirk Kapital Strategic Investments A/S more than 25% (but less than 50%). Nalka Invest AB und Kirk Kapital Strategic Investments A/S will jointly control Nemas HoldCo AS.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 24.05.2024.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
