Merger Notification - Announcement according to § 10 Cartel Act

On 05.04.2024 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Zucchetti Centro Sistemi S.p.a. with registered office at Via Lungarno No. 305/A, 52028 Terranuova Bracciolini (Arezzo), registered with the Arezzo Companies Register under no. 03225010481, intends to acquire (further) 47% of the shares in and sole control over ZZ Robotics GmbH with registered office at Carlbergergasse 66, 1230 Vienna, Austria, registered with the Companies Register of the Vienna Commercial Court under FN 483016 v. After the share purchase, Zucchetti Centro Sistemi S.p.a. will hold a 80 % shareholding in ZZ Robotics GmbH. Zucchetti Centro Sistemi S.p.a. and TJNT Beteiligung GmbH entered into a respective share purchase agreement as of 06 February 2024 (“SPA”). According to the SPA – inter alia – merger clearance in Austria is a condition precedent to consummate the Transaction. The merger concerns the wholesale of (i) robotic lawn mowers and pool cleaners and (ii) photovoltaic inverters and batteries

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 03.05.2024.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 04.05.2024 .
