On 16.09.2021 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

PreZero Zweite Verwaltungs-GmbH intends to acquire 90% of the shares in KBG Kunststoff Beteiligungen GmbH and thus sole control over it.

PreZero Zweite Verwaltungs-GmbH belongs to the PreZero waste management division of the internationally active Schwarz Group. The Schwarz Group is primarily active in food retailing in over 30 countries through its Lid' and Kaufland divisions. Since the acquisition of the Tönsmeier Group, the Schwarz Group has also been active in areas of collecting, sorting, processing and recycling of waste as an integrated service provider in the waste management sector.

KBG Kunststoff Beteiligungen GmbH processes used films from commercial waste disposal via its Group companies. Furthermore, KBG produces various packaging products from primary plastics and plastic recyclates and trades in films.

The concentration concerns the following activities according to the ÖNAСE code:

Other treatment and disposal of non-hazardous waste. Recovery of other sorted materials. Manufacture of plastic packaging goods.Wholesale of other intermediate products n.e.c.

Industry sector: C - Verarbeitendes Gewerbe/Herstellung von Waren E - Wasserversorgung; Abwasser- und Abfallentsorgung und Beseitigung von Umweltverschmutzungen, G - Handel; Instandhaltung und Reparatur von Kraftfahrzeugen

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 14.10.2021.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.

Non-prohibition of the merger

The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 15.10.2021 .
