VKR Holdings A/S; Dovista A/S; Arbonia Fenster

On 08.01.2021 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

VKR Holding A/S, Hфrsholm, Denmark intends to indirectly acquire via its subsidiary DOVISTA A/S, Horsens, Denmark sole control in the Arbonia window business of the Arbonia AG („Arbonia"), Arbon, Switzerland.
The Arbonia window business comprises the shares in (i) Arbonia Windows AG, Diepoldsau, Switzerland, (ii) EgoKiefer AG, Altstätten SG, Switzerland, (iii) Wertbau GmbH, Langenwetzendorf, Germany, (iv) Slovaktual s.r.o, Pravenec, Slovakia, (v) Dobroplast Fabryka Okien Sp. z o.o., Zambrów, Poland and (vi) web.com Management Holding GmbH, Bad Liebenstein, Germany.

The shares in (i) and (ii) are acquired from the Arbonia controlled Arbonia Schweiz AG, in (iii) and (vi) from the Arbonia controlled Arbonia Deutschland GmbH and in (iv) and (v) from the Arbonia controlled AFG International AG.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 05.02.2021.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
