Merger Notification - Announcement according to § 10 Cartel Act

On 04.12.2020 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
The notified concentration concerns the proposed acquisition of 45% bant 49% of the shares (resulting in a total shareholding of 69,9% banr 73,9% respectively) and sole control of biohelp - biologischer Pflanzenschutz, Nützlingsproduktions-, Handels- und Beratungs-GmbH and Biotech-Enterprises-Lizenzverwertungs-GmbH by RWA Raiffeisen Ware Austria AG, and the acquisition of 5.1% of biohelp international GmbH by Mr Groß, resulting in shareholding of 25.1%.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 18.01.2021.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
On 30.12.2020 the applicant requested the extension of the deadline for the submission of an application for examination by two weeks, pursuant to § 11 (1a) Cartel Act. The deadline for the submission of an application for examinations by the administrative authorities is extended by two weeks, thus ending on 18.01.2021.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 19.01.2021 .
