On 13.11.2020 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

AlpInvest Partners B.V. (the Netherlands), ultimately controlled by The Carlyle Group Inc. (USA), and Lexington Partners L.P. (USA) intend to acquire a stake of more than 25% (but less than 50%) each in Audax Private Equity Fund IV CF, L.P., a fund comprising interests in several portfolio companies advised and controlled by affiliates of Audax Group L.P. (USA).

Economic Sector: Manufacture of paints, printing ink and mastics (C 20.30); manufacture of other tanks, reservoirs and containers of metal (C 25.29); manufacture of wire products, chain and springs (C 25.93); manufacture of other electronic and electric wires and cables (C 27.32); manufacture of other rubber products (C 22.19); manufacture of other inorganic basic chemicals (C 20.13); manufacture of basic pharmaceutical products (C 21.10); manufacture of metal forming machin-
ery (C 28.41); manufacture of electric lighting equipment (C 27.40); manufacture of computers and peripheral equipment (C 26.20); other telecommunications (J 61.90); manufacture of other parts and accessories for motor vehicles (C 29.32); 
copper production (C 24.44); other non-ferrous metal production (C 24.45); manufacture of basic iron and steel and of ferro-alloys (C 24.10).

Industry sector: C - Verarbeitendes Gewerbe/Herstellung von Waren

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 11.12.2020.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.

Non-prohibition of the merger

The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 12.12.2020 .
