On 05.11.2020 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

The envisaged transaction consists of the (indirect) acquisition of (i) 30% by Invest Untemehmensbeteiligungs Aktiengesellschaft (beneficial owner: Privatstiftung für die Standorterhaltung in Oberösterreich), (ii) 27.5% by die Richard Schöps & Co Aktiengesellschaft (beneficial owner: Herr Jamal Abdul Hadi Al-Wazzan) and (iii) 12.5% by Ulrike Huemer GmbH (beneficial owner: Ulrike Huemer) in POLYTEC Elastoform GmbH, POLYTEC EMC Engineering GmbH and POLYTEC THELEN GmbH. The remaining 30% are still (indirect) held by POLYTEC Industrial Plastics GmbH (beneficial owner: Peter Stinshoff), which will control the target companies jointly with the acquiring companies.

Economic sectors concerned: Production of plastic profiles.

Industry sector: C - Verarbeitendes Gewerbe/Herstellung von Waren

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 03.12.2020.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.

Non-prohibition of the merger

The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 04.12.2020 .
