Merger Notification - Announcement according to § 10 Cartel Act

On 07.05.2025 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
RMC Service GmbH, FN 054197b, intends to acquire from AP-Energy GmbH, FN 279015t, its operation of a fuel card, the “AP-Card”, by acquiring the entire shareholding in RMC-Card GmbH, FN 652134x, to which the operation of the AP-Card is to be spun off, so that RMC Service GmbH, FN 054197b, then holds 100% of the shares in RMC-Card GmbH, FN 652134x, and is the sole shareholder and subsequently RMC-Card GmbH is merged into RMC Service GmbH.
The business line concerned is the operation of a fuel card (ÖNACE Code 2025: L-66.19-0). By means of this transaction, the operation of the AP-Card is to be transferred from AP-Energy GmbH to RMC Service GmbH.
The shareholders of RMC Service GmbH, FN 054197b, are Günther Wölfl, born 16. August 1965, Bayernstraße 24, 2071 Wals-Siezenheim, Elisabeth Wölfl, born 24. February 1966, Bayernstraße 24, 2071 Wals-Siezenheim and dts trading GmbH. FN 372885k, Gnigler Straße 52, 5020 Salzburg.
The sharholders of dts Trading GmbH. Fn 372885k, are Mario Gollackner, born 3 March 1981, Gnigler Straße 52, 5020 Salzburg, Gollackner Immobilien GmbH, FN 309683t, Gnigler Straße 52, 5020 Salzburg, and Gollackner Holding GmbH, FN 571678d, Gnigler Straße 52, 5020 Salzburg.
The sole shareholder of Gollackner Immobilien GmbH, FN 309683t, is Walter Gollackner, born 12. Janurary 1954, Gnigler Straße 52, 5020 Salzburg.
The sole shareholder of Gollackner Holding GmbH, FN 571678d, is Mario Gollackner, born 3 March 1981, Gnigler Straße 52, 5020 Salzburg.
Prior to the merger, the sole shareholder of RMC-Card GmbH, FN 652134x, Gnigler Straße 52, 5020 Salzburg, was AP-Energy GmbH, FN 279015t, Hellbrunner Straße 7, 5081 Anif.
After the merger in question, RMC Service GmbH, FN 054197b, is the sole shareholder of RMC-Card GmbH, FN 652134x.
The sole shareholder of AP-Energy GmbH, FN 279015t, is AP-Trading GmbH, FN 198387t. The sole shareholder of AP Trading GmbH, FN 198387x, is KR Markus Friesacher, born 6 Januray 1975, Höhenwald 6, 5061 Elsbethen-Glasenbach.
The field of activity of RMC Service GmbH is the operation of a fuel card, the RMC card, together with assoicated ancillary activites, in particular payment services in conncetion with the collection of tolls and VAT refunds.
The field of activity of AP-Energy GmbH is the retail and wholesale of goods of all kinds, in particular oil and gas products, the operation of petrol stations as well as the rental and leasing of petrol station operations and petrol properties and the operation of the AP-Card (fuel card).

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 04.06.2025.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 05.06.2025 .
