On 06.06.2024 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
EPEXSPOT S.E., Paris, France, (“EPEX”), Akcionarsko društvo “Elektromreža Srbije”, Beograd, Serbia, (“EMS”) and ELES, d.o.o., sistemski operater prenosnega elektroenergetskega omrežja,
Ljubljana, Slovenia, (“ELES”) each hold one third of the shares in their joint venture, ADEX SKUPINA holding družba d.o.o., with seat in Ljubljana, Slovenia (“ADEX Sl”). EPEX, EMS and ELES
intend to transform ADEX into a Hungarian company, ADEX Holding Ltd (“ADEX HU”). MAVIR Magyar Villamosenergiaipari Átviteli Rendszerirányító Zártkörűen Működő Részvénytársaság (“MAVIR”) intends to contribute its subsidiary, HUPX Hungarian Power Exchange Company Limited, Hungary (“HUPX”) to ADEX HU in exchange for a 40% stake in ADEX HU. Through the project, EPEX and EMS will indirectly acquire each 25% of HUPX via their future 25% shareholdings in ADEX HU.
The transaction concerns electricity exchanges in Slovenia, Serbia and Hungary. ADEX Sl is the shareholder of the Serbian electricity exchange, SEEPEX AD Beograd, Beograd, Serbia (“SEEPEX”) and the Slovenian electricity exchange, BSP Energetska Borza d. o. o., Ljubljana, Slovenia (“BSP”).
The NACE code of the business line concerned is Energy supply.
D - ELECTRICITY, GAS, STEAM AND AIR CONDITIONING SUPPLY
Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 04.07.2024.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 05.07.2024 .
