Merger Notification - Announcement according to § 10 Cartel Act

On 29.12.2023 the Austrian Federal Competition Authority was notified of the following merger:
Planned purchase process
Acquisition of 55% of the shares in philoro Holding GmbH by Kultas Beteiligungs GmbH, based in Vienna, Austria, which will be mainly owned by Brückler Verwaltungs GmbH, based in Vienna, Austria (28.33 %) and Rudolf Brenner Holding GmbH, based in Vienna, Austria (54.22 %).
Invest Unternehmensbeteiligungs Aktiengesellschaft, based in Linz, Austria will hold 10.9 % of Kultas Beteiligungs GmbH and will have certain co-determination rights (also with regard to philoro Holding GmbH and its subsidiaries).
Relevant industries: Production and primary processing of precious metals; Wholesale of non-ferrous metals and semi-finished products.
C - MANUFACTURING G - WHOLESALE AND RETAIL TRADE
Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 26.01.2024.
Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.
Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
Non-prohibition of the merger
The Federal Competition Authority and the Federal Cartel Prosecutor have not applied for examination of the merger by the Cartel Court. The standstill obligation (§ 17 (1) Cartel Act) ends with effect from 27.01.2024 .
