AlpInvest Partners B.V.; HarbourVest Partners, LLC; DWK Life Sciences GmbH; USCO SpA

On 19.10.2022 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

Investment funds or accounts managed or advised by AlpInvest Partners B.V. (Netherlands), ultimately controlled by The Carlyle Group Inc. (USA), intend to indirectly 
acquire an interest of more than 25%, while HarbourVest Partners, LLC (USA) intends to indirectly acquire an interest of at least 25% in OEP Neptune Fund I, SCSp 
(Luxembourg) ("OEP Continuation Fund"), a fund managed and controlled by affiliates of OEP Capital Advisors, L.P. At closing of the transaction, the OEP Continu-
ation Fund will acquire the indirect interests in two portfolio companies belonging to another fund managed by affiliates of OEP Capital Advisors, L.P., namely One Equity 
Partners VI, L.P. Those two portfolio companies are DWK Life Sciences GmbH (Germany) and USCO S.p.A. (Italy). 

Economic sector: Manufacture of glass and glass products, Manufacture of lifting and handling equipment. 

Industry sector: C - Verarbeitendes Gewerbe/Herstellung von Waren

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 16.11.2022.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
