Lexington Partners L.P.; HarbourVest Partners, LLC

On 20.01.2023 the Austrian Federal Competition Authority was notified of the following merger:

Planned purchase process

Lexington Partners L.P. (New York / USA) and HarbourVest Partners, LLC (Delaware/USA), respectively, intend to acquire via investment vehicles managed by them, non-controlling minority shareholdings in Insight Partners Continuation Fund II, L.P. (Grand Cayman / Grand Cayman Islands). It is expected that HarbourVest Partners, LLC acquires between 25% and 59.2% and that Lexington Partners L.P. acquires up to 25% 
in Insight Partners Continuation Fund II, L.P. Insight Venture Management, LLC (New York / USA), which has established and will solely control the Insight Partners Continuation Fund II, L.P, will transfer existing non-controlling minority shareholdings of above 25% in Zuva Inc. (Toronto / Canada) and in EzCater Inc. (Boston / USA) to Insight Partners Continuation Fund II, L.P. The proposed concentration concerns document 
analysis software and online food ordering services.

Deadline for bringing in an application pursuant to § 11(1) Cartel Act will end on 17.02.2023.

Entrepreneurs whose legal or economic interests are affected by the merger can bring in a written statement at the Federal Competition Authority or the Federal Cartel Prosecutor within 14 days from publication date.

Note: The intervening party has no right to a certain treatment of the statement and will not gain a party position.
